Result of scheme meeting held in regard to the scheme of arrangement in terms of section 311 of the Companies Act (Act 61 of 1973), as amended, proposed by AECI between Chemserve and its shareholders, other than AECI ("the scheme").
Shareholders are advised that the scheme was duly approved by the requisite majority of votes exercised by shareholders of Chemserve, other than AECI, as were present and entitled to vote, either in person or by proxy, at the scheme meeting held at 10:00 on Monday, 24 November 2003 at the registered office of Chemserve.
Application to the High Court of South Africa (Witwatersrand Local Division)("the Court") for the sanctioning of the scheme will be made at 10:00, or so soon thereafter as the matter may be heard on Tuesday, 2 December 2003 ("Court hearing"). If the scheme is sanctioned by the Court, the only remaining condition precedent to which the scheme will be subject will be the registration of the Order of Court sanctioning the scheme by the Registrar of Companies. The Court is located at High Court Building, von Brandis Street, Johannesburg.
Further announcement
An announcement regarding the outcome of the Court hearing and implications and matters pertinent thereto will be made on or about 3 December 2003.
